1. Agreement and scope
These Terms and Conditions govern use of the RxHubPro platform and related services by the organization accepting them or executing an Order Form (“Customer”). RxHubPro supports pharmaceutical manufacturers and their authorized hubs, patient-services organizations, specialty pharmacies, FRMs, reimbursement support teams, finance teams, and market-access leaders.
If an Order Form, Data Processing Addendum (“DPA”), Business Associate Agreement (“BAA”), or statement of work conflicts with these Terms, the Order Form controls first, followed by the BAA or DPA for the subject matter each governs.
2. Subscription license and authorized users
Subject to these Terms and applicable fees, RxHubPro grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right for Customer’s authorized users to access the Services during the subscription term for Customer’s internal patient-access operations. Customer is responsible for every authorized user and approved program partner that it permits to access the Services.
- Users must have unique credentials and must not share accounts.
- Customer must use appropriate role-based permissions and promptly remove access when roles change.
- Customer must ensure users receive privacy, security, and program-compliance training.
3. Customer Data and program content
Customer retains all rights in data, records, files, configurations, program materials, and reports submitted to or generated through the Services (“Customer Data”). Customer grants RxHubPro a limited right to host, process, transmit, display, and use Customer Data only to provide, secure, support, maintain, and improve the Services and meet contractual and legal obligations.
Customer is responsible for the accuracy, quality, legality, consent, authorization, and permitted use of Customer Data. RxHubPro is not the source of record for a prescription, medical record, coverage determination, safety case, or financial ledger unless an executed agreement expressly states otherwise.
4. Pharmaceutical program compliance
Pharmaceutical Customers are responsible for the design, funding, eligibility criteria, content, communications, disclosures, and compliance of their product-support, copay, patient-assistance, bridge, hub, reimbursement, and market-access programs. Customer must comply with applicable healthcare, privacy, payer, transparency, fraud-and-abuse, consumer-protection, and product-promotion requirements.
Operational—not clinical or promotional—software
The Services organize operational information. They do not provide medical advice, prescribe, diagnose, determine medical necessity, adjudicate claims, guarantee payer outcomes, or make coverage decisions. Customer must independently review clinical, legal, regulatory, reimbursement, and financial decisions and may not use the Services to make false, misleading, off-label, or unapproved product claims.
Pharmacovigilance and quality
Unless expressly agreed in writing, RxHubPro is not a validated pharmacovigilance, adverse-event, product-complaint, safety-case, or regulatory-reporting system. Customer must maintain its own procedures and systems for identifying, escalating, investigating, and reporting safety and product-quality information.
5. Acceptable use
Customer and users may not use the Services in violation of law, payer rules, program terms, or the rights of others; introduce malware; bypass security controls; share credentials; access data outside assigned roles; reverse engineer the Services; or use identifiable Customer Data to train a general-purpose AI model without required written authorization.
6. Security, support, and service changes
RxHubPro will maintain reasonable administrative, technical, and physical safeguards designed to protect the Services and Customer Data. Customer remains responsible for its users, endpoints, networks, identity provider, integrations, workflows, exports, and security practices.
RxHubPro may modify or enhance the Services provided it does not materially reduce subscribed core functionality during the active term. Availability may be affected by maintenance, Customer systems, third-party providers, internet conditions, and events outside reasonable control.
7. Fees, term, suspension, and termination
Customer will pay fees in the Order Form. Unless stated otherwise, fees are non-refundable and payment obligations are non-cancelable. The Order Form controls term, renewal, and termination. RxHubPro may suspend access where reasonably necessary to protect the Services or Customer Data, comply with law, address a security risk, or manage undisputed nonpayment after notice.
At termination, Customer may request a standard export during the agreed retrieval period. RxHubPro may delete Customer Data after that period, subject to legal obligations, backup processes, and legal holds.
8. Intellectual property, confidentiality, and liability
RxHubPro retains all rights in the Services, software, documentation, designs, methods, and trademarks. Each party must protect the other’s confidential information and use it only to perform or receive the Services.
Except as expressly stated, the Services are provided “as is” and “as available.” RxHubPro does not warrant uninterrupted or error-free operation or a particular patient, payer, coverage, reimbursement, therapy-start, clinical, or financial outcome. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Before publication, counsel must finalize the liability cap, excluded claims, indemnity process, governing law, and venue.
